  12.               TELECOMMUNICATIONS SERVICE AGREEMENT
  13.

  15. @001, referred to as SYSTEM, and @002, referred to as USER, 
  16. agree:
  17.  
  18.  
  19. SYSTEM provides a computer telecommunications system commonly 
  20. known as a "Computer Remote Bulletin Board System" (BBS). USER 
  21. desires to use the system for the posting of program and 
  22. information files, and messaging. SYSTEM is willing to provide 
  23. the same under the terms and conditions stated herein.

  26. As consideration for the provision of services herein, the USER 
  27. shall include in its documentation and other publications an 
  28. advertisement for the SYSTEM, substantially in the form of the 
  29. attached Exhibit 1. USER shall provide copies of all such 
  30. advertisements to SYSTEM.

  32.  
  33. Unless terminated as provided herein, this agreement shall begin 
  34. on @300 and conclude on @301.
  35.  
  36.  
  37. SYSTEM shall, at its expense, provide a "forum" also known as a 
  38. "sub-board" to USER. This forum shall support:
  39.  
  40.  
  41. upload of files by the USER;
  42.  
  43.  
  44. download of files by patrons of the BBS;
  45.  
  46.  
  47. posting of public messages by the USER;
  48.  
  49.  
  50. receiving of private messages by the USER; and,
  51.  
  52.  
  53. posting of bulletins by the USER.
  54.  
  55.  
  56. USER shall designate no more than @101 representatives to act as
  57. forum administrators. The administrators shall have the right to 
  58. upload to the forum and delete messages. USER will keep all 
  59. passwords and all information regarded to the security system of 
  60. the BBS which may be provided from time to time confidential.

  64. USER agrees that its activities shall be in strict accordance 
  65. with applicable laws and regulations and shall indemnify BBS from 
  66. all claims related to its activities herein.
  67.

  69. USER agrees that it shall not imply or state that the offers made 
  70. on the BBS system are approved or made by the BBS system. BBS 
  71. shall not act as "arbitrator" or "judge" of claims made by those 
  72. dealing with USER on the system.

  75. The BBS system shall have the right to review screens and other 
  76. displays used by USER, and, may in reasonable discretion reject 
  77. screens or displays if the same are not up to the standards of 
  78. the BBS.

  81. The BBS shall have the sole right to "lock out" users for 
  82. violation of BBS systems policies. USER agrees that in the event 
  83. that a user is "locked out" from the system that the BBS's 
  84. decision shall be final, and that the BBS shall not conduct 
  85. business with such person on the BBS.

  89. Copyright to all items created by the USER shall be held by USER.

  92. BBS may discontinue this agreement upon @302 days notice.

  96. USER agrees that in the event of a system failure, or other 
  97. interruption of service, that the liability of the BBS shall be 
  98. limited to restoration of service.

  102. This is the entire agreement between the parties, and this 
  103. agreement may only be amended in writing executed by the parties 
  104. hereto.
